Please read these terms carefully before engaging CareDesk Consultants LLC for any service.

Advisory Services Only: CareDesk Consultants LLC is a private advisory and consultancy firm. We are not a federal contractor, we are not affiliated with or an agent of any government entity, and we do not execute, bid on, or perform federal contracts on behalf of our clients. All services provided by CareDesk are strictly advisory and consultancy in nature. By engaging our services, you acknowledge and agree to this fundamental characterisation of our business.

1. Acceptance of Terms

By accessing this website, submitting an enquiry, or engaging CareDesk Consultants LLC ("CareDesk," "we," "us," or "our") for any service, you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our website or engage our services.

These Terms apply to all visitors, enquirers, and clients. They may be supplemented by a separate written engagement agreement or Statement of Work signed between CareDesk and the Client.

2. Nature of Services

2.1 What CareDesk Provides

CareDesk Consultants LLC offers two primary service lines:

  • GSA Advisory Services: Guidance, advisory, and consultancy to help private businesses understand and navigate the U.S. General Services Administration (GSA) Schedule process. This includes application strategy, proposal preparation support, compliance guidance, catalog management advice, and related consulting.
  • Business Process Outsourcing (BPO) Consulting: Offshore operational staffing and BPO delivery through our Lahore, Pakistan Delivery Center, including customer support, data processing, finance and accounting, HR outsourcing, and IT help desk services.

2.2 What CareDesk Does Not Provide

CareDesk Consultants LLC is not a federal contractor and does not hold any federal contracts. We do not act as a subcontractor, teaming partner, or agent of any government entity. We do not submit offers, proposals, or bids to the federal government on behalf of clients. We do not sign government contracts or legal instruments on a client's behalf. Our role is purely advisory — we guide, prepare, and advise. The client retains full responsibility for all decisions, submissions, and contractual obligations with the U.S. government.

2.3 No Guarantee of Outcomes

CareDesk's advisory guidance is based on our professional expertise and documented experience. However, we cannot and do not guarantee that any client will be awarded a GSA Schedule contract, receive any specific government contract, or achieve any particular business outcome. GSA Schedule awards are determined solely by the U.S. General Services Administration. Our fees are charged for advisory services rendered, not for guaranteed results.

3. Client Responsibilities

By engaging CareDesk, the Client agrees to:

  • Provide accurate, complete, and truthful information required for advisory services
  • Maintain sole responsibility for all decisions made based on CareDesk's advice
  • Ensure all submissions to government agencies comply with applicable law and regulations
  • Not misrepresent CareDesk as a government contractor, agent, or affiliate of any federal body
  • Pay all agreed fees in accordance with the payment terms in the applicable engagement agreement
  • Comply with all applicable federal, state, and local laws in connection with any GSA or government-related activity

4. Fees and Payment

All service fees are published on our website and apply equally to every client. Fees are due in accordance with the payment schedule set out in the applicable engagement agreement or invoice. CareDesk reserves the right to suspend advisory services if payment is not received within 14 days of the due date.

Our published rates are flat-rate fees for advisory services. We do not charge success fees, commissions, or contingency-based fees. All rates are in U.S. Dollars (USD).

Refunds are governed by our separate Refund Policy.

5. Intellectual Property

All content on this website — including text, design, graphics, logos, and service descriptions — is the intellectual property of CareDesk Consultants LLC and is protected by applicable copyright and trademark laws. You may not reproduce, distribute, or commercially exploit any content without our express written permission.

Any materials, templates, guides, or deliverables created by CareDesk specifically for a client engagement become the property of that client upon full payment, unless otherwise agreed in writing.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement. CareDesk will not disclose client information to third parties except as required by law or as described in our Privacy Policy. Clients agree not to share CareDesk's proprietary methodologies, templates, or guidance materials with third parties without prior written consent.

7. Limitation of Liability

To the fullest extent permitted by applicable law, CareDesk Consultants LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use of our services or this website, including but not limited to:

  • Loss of anticipated GSA Schedule contracts or government revenue
  • Decisions made by government agencies regarding contract awards
  • Any regulatory or compliance consequences arising from client actions
  • Business losses resulting from reliance on our advisory guidance

Our total aggregate liability to any client shall not exceed the total fees paid to CareDesk by that client in the three (3) months preceding the event giving rise to the claim.

8. Disclaimer of Warranties

Our services and website are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our advisory services will result in any specific government contract award, regulatory approval, or business outcome. We do not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components.

9. Indemnification

You agree to indemnify, defend, and hold harmless CareDesk Consultants LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any misrepresentation you make regarding our firm's role or status to any government agency or third party.

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.

Before initiating any legal proceeding, both parties agree to attempt to resolve disputes in good faith through direct negotiation for a period of at least 30 days.

11. Termination

Either party may terminate a service engagement by providing written notice in accordance with the terms of the applicable engagement agreement. CareDesk reserves the right to terminate any engagement immediately if the Client provides false information, engages in unlawful conduct, or violates these Terms. Fees for services already rendered are non-refundable except as set out in our Refund Policy.

12. Modifications to Terms

We reserve the right to update these Terms at any time. Updated Terms will be posted on this page with a revised "Last Updated" date. Continued use of our services after changes are posted constitutes acceptance of the revised Terms. We encourage you to review this page periodically.

13. Entire Agreement

These Terms, together with any applicable engagement agreement or Statement of Work, constitute the entire agreement between you and CareDesk Consultants LLC with respect to the subject matter hereof, and supersede all prior negotiations, representations, warranties, and understandings.
